Section 1Acceptance of terms

These Terms of Service (the "Terms") form a binding agreement between you and WhizzAct Private Limited, the company that provides the WhizzGate product ("WhizzGate", "we", "us"). By creating an account, accessing or using the Services, you confirm that you have read, understood and agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

Section 2Definitions

• "Services" — the WhizzGate website, dashboards, mobile apps and APIs.
• "Society" — the residential community or association that subscribes to WhizzGate.
• "Administrator" — a person authorised by a Society to manage its account.
• "User" — any person who accesses the Services, including residents, guards, managers and visitors.
• "Society Data" — data a Society and its Users submit to or generate through the Services.

Section 3Accounts & roles

Access is role-based. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must provide accurate information and keep it current, notify us promptly of any unauthorised use, and not share your account. Administrators are responsible for the Users they add and the roles they assign.

Section 4Acceptable use

You agree not to:

• Use the Services for any unlawful, fraudulent or harmful purpose.
• Access data or areas you are not authorised to access, or attempt to breach tenant isolation.
• Upload malware, or probe, scan or test the vulnerability of the Services without our written permission.
• Reverse-engineer, resell, or create derivative works from the Services except as permitted by law.
• Misuse resident or visitor personal data, or use it for purposes unrelated to community operations.
• Interfere with or disrupt the integrity or performance of the Services.

Section 5Society data & your responsibilities

As between you and us, a Society retains all rights to its Society Data. You grant us a limited licence to host, process and transmit Society Data solely to provide the Services. The Society, as Data Fiduciary, is responsible for having a lawful basis to collect resident, staff and visitor data and for issuing appropriate notices to those individuals. Our handling of personal data is described in the Privacy Policy and, where applicable, a data processing agreement.

Section 6Fees & payments

Subscription fees, billing cycles and any transaction charges are set out in your order or on our pricing page. Fees are exclusive of applicable taxes (such as GST) unless stated otherwise. Maintenance payments collected from residents are processed through our payment gateway, Cashfree Payments, and are subject to its terms. Refunds and cancellations are governed by our Refund & Cancellation Policy.

Section 7Intellectual property

The Services, including all software, design, text, graphics and the WhizzGate name and logo, are owned by us or our licensors and are protected by intellectual-property laws. Except for the limited right to use the Services under these Terms, no rights are granted to you. You may not use our trademarks without prior written consent.

Section 8Third-party services

The Services integrate with third-party providers (for example payment gateways and SMS/email/push delivery). We are not responsible for the availability, accuracy or content of third-party services, and your use of them may be subject to their own terms.

Section 9Availability & changes

We work to keep the Services available and reliable but do not guarantee uninterrupted access. We may modify, suspend or discontinue features, perform maintenance, or update the Services from time to time. We will give reasonable notice of material changes where practicable.

Section 10Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. WhizzGate is a tool that supports community security and operations; it does not replace physical security measures, professional judgement, or legal and financial advice.

Section 11Limitation of liability

To the maximum extent permitted by law, WhizzGate shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or goodwill. Our total aggregate liability arising out of or relating to the Services shall not exceed the fees paid by the relevant Society to us in the twelve (12) months preceding the event giving rise to the claim.

Section 12Indemnity

You agree to indemnify and hold WhizzGate harmless from any claims, damages, liabilities and expenses arising from your misuse of the Services, your violation of these Terms, or your infringement of any law or third-party right.

Section 13Termination

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, fail to pay fees, or use the Services in a way that risks harm to others or to the platform. On termination, your right to use the Services ends; provisions that by their nature should survive (including IP, disclaimers, liability and governing law) will continue. Data handling after termination is described in the Privacy Policy.

Section 14Governing law & disputes

These Terms are governed by the laws of India. Subject to any applicable law, the courts at Mumbai, Maharashtra shall have exclusive jurisdiction over any dispute arising out of or relating to the Services. The parties will attempt to resolve disputes amicably before resorting to litigation.
